

Mr. Wilson serves as our Chief Executive Officer and as a member of our board of directors. Mr. Wilson has also served as Chief Operating Officer and Senior Vice President for our business since April 2016 to drive marketing, technology, production and product management for our business prior to this offering, after previously serving as the Vice President of Product and Operations, Vice President of Product and Executive Director Social Gaming Products. From June 2012 to December 2013, Mr. Wilson was Senior Director of Social Products and Director of Social Gaming for WMS, which was acquired by Scientific Games (Known today as Light & Wonder, Inc.) in 2013, overseeing web development, analytics and road mapping while creating a business intelligence system and launching our social casino games Jackpot Party Casino and Goldfish Casino. Mr. Wilson served with Phantom EFX, LLC from March 2001 to June of 2012, when it was acquired by WMS, as the Director of Online Gaming and Engineering Supervisor.

Mr. Cohen serves as a member of our board of directors. Mr. Cohen retired as a partner from Ernst & Young LLP, or E&Y, in 2012 after a 40-year career where he served on the partner advisory councilfrom 2003 through 2006. During his career at E&Y, he held both client-serving and firm leadership positions, and he served as senior audit assurance partner on a variety of clients ranging from Fortune 500 companies to emerging companies and including MacAndrews & Forbes Incorporated. He also was a leader in the development and automation of E&Y’s approach to audits. Mr. Cohen has a B.S. and M.B.A. from Lehigh University and became a CPA in 1973. We believe Mr. Cohen is qualified to serve on our board of directors through his strong working knowledge of professional standards and the importance of internal controls and corporate governance and his extensive experience with accounting and disclosure issues and assisting boards and management work through Sarbanes-Oxley compliance and governance matters.

Mr. Thompson, Jr. serves as a member of our board of directors. Since 2019, Mr. Thompson has served as Executive Committee Member and Owner of American Triple I Partners, LLC, which manages private equity investments in infrastructure. In addition, Mr. Thompson has served since 2015 as Partner, Chief Administrative Officer and Senior Managing Director of Siebert Cisneros Shank & Co., an investment banking and financial services company, where he also served as Chief Administrative Officer and Senior Managing Director from 2010 through 2015. Mr. Thompson was also elected for two consecutive terms as New York City Comptroller from 2002 through 2009. Mr. Thompson graduated with a B.A. from Tufts University

Mr. Marchetti is the Chief Financial Officer of Age of Learning, Inc., a leading education technology innovator, creating engaging and effective learning resources to help children build a strong foundation for academic success. Mr. Marchetti also serves on the Board of Directors and as Chairman of the Audit Committee for TechStyle Fashion Group, a global fashion and lifestyle company. Mr. Marchetti was a founding executive and Chief Financial Officer of JAMDAT Mobile. Inc., one of the first publicly traded mobile gaming companies in the U.S. JAMDAT Mobile was acquired by Electronic Arts, Inc., where Mr. Marchetti served as SVP, COO of EA’s Interactive division. Subsequent to Electronic Arts, Mr. Marchetti was Chief Executive Officer of Buffalo Studios, creator of the Bingo Blitz social game, which was sold to Caesars Interactive.

Mr. Earl brings more than two decades of gaming industry leadership experience, including substantial experience in casual gaming and building great games and franchises. Mr. Earl currently serves as a Senior Advisor to AviaGames, a global leader in mobile, social competitive gaming. Previously, Mr. Earl served as President, Chief Executive Officer and Director of Glu Mobile, Inc., a leading global developer and publisher of mobile games, from 2016 to 2021. Prior, he served as Glu Mobile’s President of Global Studios from 2015 to 2016. Before joining Glu Mobile, Mr. Earl served as President of Worldwide Studios at Kabam, Inc., a world leader in massively multiplayer free-to-play games for mobile devices. Previously, Mr. Earl spent over a decade with Electronic Arts Inc., where he served in several management positions including as Senior Vice President & General Manager of EA Mobile. Earlier in his career, Mr. Earl served as VP Product Development at Eidos Interactive.

Ms. Henry brings over two decades of experience advising global corporations across the technology industry on investments, mergers and acquisitions and global business development partnerships. She has been Managing Partner of the strategic consulting firm Hawkeye Digital since its founding in 2018. She also serves on the Board of Directors for ATN International, a publicly listed communications infrastructure and services company. And, she is EVP of Corporate Development at Science, Inc., a top incubation and venture capital fund as well as a special advisor to S4 Capital, a digital advertising and marketing services company. Prior to that, Ms. Henry was Co-Founder and CRO of Equell, a digital wellness solution from 2018 to 2020. Ms. Henry was SVP of CNBC and sat on the NBCUniversal management committee from 2016 to 2018 and she was VP of international corporate development and corporate strategy as well as Chief of Staff for Development at Yahoo from 2011 to 2015. Prior to that, she was a VP of corporate development at News Corporation, SVP of corporate and business development at MySpace and an associate at Index Ventures. Ms. Henry began her financial career at Morgan Stanley where she spent over 10 years as an equity analyst covering technology and telecommunications sectors. Ms. Henry graduated with a B.A. from Columbia College, Columbia University.

Mr. Prober brings over two decades of experience in the digital entertainment and gaming industries. From 2008-2014, he was a senior executive at Electronic Arts, one of the world’s leading digital entertainment companies, serving in various capacities, including head of corporate development and SVP, digital publishing. Mr. Prober joined Electronic Arts via the acquisition of BioWare/Pandemic, one of the world’s leading video game developers, where he served on the executive leadership team. He left Electronic Arts to join GoPro, Inc. where he served as COO. He currently serves as CEO of Tile, Inc., the leading mobile app-based smart location company, and as a board member at Life360, the leading mobile app-based family safety platform, which acquired Tile in January 2022.

Ms. James is a seasoned financial executive with nearly twenty years of gaming experience in financial and operational roles. She is currently EVP and CFO of Light & Wonder, Inc. (formerly known as Scientific Games Corporation), the largest shareholder of SciPlay, where she is one of the key architects of Light & Wonder’s strategic transformation to become the leading cross-platform global game company. Prior to joining Light & Wonder, she was a finance executive at Cargill Corporation, and previously she was CFO – Global Land Based Gaming at Aristocrat Leisure Limited, a gaming solutions provider based in Australia.
